Terms of Service
Last updated 2 November 2026
These terms are the agreement between Vinna Payment LLC (VinGate, we, us) and the person or company that opens an account. Read them before connecting a payment account; by using VinGate you accept them.
1. What VinGate is
VinGate is software. It hosts checkout pages, decides which of your connected processor accounts each payment goes to, calls the processor, and tells your systems what happened through webhooks and the dashboard.
VinGate is not a payment processor and never holds your money. Every payment is charged on your own Square or Stripe account, so settlement, payouts, chargebacks and processor holds are between you and that processor.
You are the seller of record for your buyers. We are not a party to the sale.
2. Accounts
- You need to be 18 or older and able to enter a contract for the business you register.
- Give accurate business details. Payout and underwriting decisions by a processor follow from them.
- One login is an account. A plan covers every business on that account.
- Keep your API keys and dashboard login secret. Anything done with a key is your action.
3. Connecting processors
You authorize Square or Stripe through their own consent screens and can revoke that at any time on their side. We store an encrypted token or account reference, never your processor password.
Your processing limits, verification status and account health are set by the processor. If one account stops taking payments we route to another, and if every account is blocked the checkout refuses rather than taking a payment that will fail.
4. Plans and fees
- Base is $99 per month plus 6% of each payment. Premium is $199 per month plus 3% of each payment.
- A one-time $399 integration fee is charged with the first month.
- Plan charges go to the card on file through our own Square account. Processor fees are separate and charged by the processor.
- Our percentage fee is taken from each payment at the moment it is charged. Square caps it at 90% of a payment, or 60% for payments under $5.00.
5. Renewals, failed payments and cancellation
Plans renew monthly until cancelled. Cancel from the Billing page and the plan runs to the end of the paid period.
If a renewal fails we retry after 1, 3 and 5 days. After that the plan is cancelled, live API keys answer 402, and live payments stop until you reactivate.
Plan charges are not refunded for a period already started, except where the law says otherwise or where the Refund Policy says so.
6. Your obligations
- Comply with the law where you sell, including tax, consumer and distance-selling rules.
- Describe goods and services accurately and fulfil what you sell.
- Handle your own refunds, chargebacks and buyer support.
- Tell your buyers what you do with their data, and have a lawful basis for the buyer details you send us.
- Keep your webhook endpoint available; an endpoint that stays down is alerted on once retries run out.
7. Acceptable use
Use VinGate for lawful commerce and within the rate limits of your plan. Do not resell the API as a processor, probe the limits dishonestly, or use it for goods a processor prohibits.
We can suspend traffic to one business or the whole account for abuse, unpaid fees, or a processor requirement, and will say why.
8. Availability
We aim to be up always and are not always. There is no SLA on the self-serve plans. Scheduled work, processor outages and deploys can interrupt service.
A payment that is charged but not recorded is recovered from the processor webhook or the reconcile job; keep webhooks enabled on your side so fulfilment never depends on the buyer's browser.
9. Liability
VinGate is provided as is. To the extent the law allows, our total liability for a claim is limited to the fees you paid us in the three months before it, and we are not liable for lost profit, lost data or processor decisions.
Nothing here limits liability for fraud, death or personal injury, or anything else that cannot be limited.
10. Changes, term and law
You can stop using VinGate at any time. We can end the agreement on notice, or immediately for a serious breach.
We will post material changes to these terms on this page with a new date. Continuing after that is acceptance.
These terms are governed by the law of New York, and the state and federal courts sitting in New York County have exclusive jurisdiction.
